Shareholding Structure
Yapı Kredi has a strong shareholding structure which ensures sustainable and profitable growth. Yapı Kredi’s 20.22% of the shares are directly owned by Koç Holding A.Ş. and 40.95% of the Bank’s shares are owned by Koç Financial Services, which is 100% owned by Koç Group. 38.83% is publicly traded on Borsa Istanbul.
As a result of the transfer of shares on 5 February 2020, Koç Financial Services became the owner of 40,95% of Yapı Kredi. Koç Holding owned 9.02% of Yapı Kredi’s share capital whereas UniCredit directly had 31.93%. Accordingly, Koç Group’s direct and indirect stake in Yapı Kredi (previously at 40.97%) increased by 9.02% to 49.99%.
Additionally, on 6 February 2020, UniCredit S.P.A. has announced at Public Disclosure Platform that they completed sale of Yapı Kredi shares in their ownership representing c.12% of the Bank’s share capital through accelerated bookbuilding to qualified institutional investors. As a result of this sales transaction, UniCredit S.P.A.’s ownership at Yapı Kredi has reduced to 20% and the Bank’s free float increased to 30.03%.
UniCredit S.P.A. has notified our Bank that it has sold its Yapı Kredi shares which corresponds to 2% of the Bank's capital in Borsa İstanbul as of 19 November 2021. As a result of this transaction, the share of UniCredit S.P.A. in our Bank has decreased from 20% to 18%. The share of free float increased from 30.03% to 32.03%.
On 9 November 2021, the purchase agreement of acquiring 18% of Yapı Kredi shares from UniCredit S.p.A. by Koç Holding A.Ş. was announced. As of 1 April 2022, the share transfer have been finalized and Koç Holding's direct share in Yapı Kredi increased from 9.02% to 27.02%.
On 25 July 2023, Koç Holding A.Ş. has announced at Public Disclosure Platform that their Yapı Kredi shares representing 6.81% of the Bank’s share capital were sold to institutional investors through accelerated bookbuilding.
Consequently, Koç Holding A.Ş.'s direct shareholding in the Bank is 20.22%. In total, 61.17% of the Bank’s shares are owned by Koç Holding A.Ş. and Koç Financial Services A.Ş. Thus, Koç Group continues to be the main shareholder of the Bank.
